7.1 Platform and source code. The following are the exclusive property of TRIPAULX LTDA, protected by Brazilian (Laws 9,609/1998 and 9,610/1998) and international intellectual property laws: the Platform's source code, architecture, structure, layout, design, components, templates, prompts, AI agents, integrations, infrastructure, technical documentation, trademarks and logos. This includes the source code that generates and serves the Customers' websites, landing pages and stores, even when customized for a specific Customer. The subscription does not transfer to the Customer any ownership of that code: the Customer receives only a non-exclusive, non-transferable license of use, limited to the term of the subscription.
7.2 Continuous optimization by agents. The Customer acknowledges and authorizes AI agents and the Tripaulx team to continuously change the code, structure, performance, SEO, accessibility and security of the websites, without prior notice for each change. These optimizations do not replace content approved by the Customer without its authorization. All code, improvements, components and technical know-how resulting from these optimizations belong to Tripaulx, even when developed from a Customer's website.
7.3 Customer content. The following belong to the Customer: the texts, images, videos, logos, trademarks, own domain name, catalog, prices and other information it provides; the texts and images visible on the website that were generated by AI for the Customer, from publication onward; and the data it enters into the Platform (messages, contacts, leads, media, settings). The Customer grants Tripaulx a non-exclusive, royalty-free, worldwide license to host, store, reproduce, adapt, translate and display that content, limited to providing the contracted services. The license ends with the contract, except for backups during the technical retention period and legal obligations. The Customer represents that it holds the necessary rights over all content it provides.
7.4 Source code provided by the Customer. Any source code the Customer delivers to Tripaulx to be reused (for example, from a previous website, a vendor or its own integration) remains the property of the Customer. That code is used only as a reference: Tripaulx always rewrites it to the Platform's technical standard and never uses, publishes or runs it as received. The rewritten code becomes part of the Platform and is governed by section 7.1. The Customer authorizes Tripaulx to analyze the code received for this purpose and represents that it holds the necessary rights to deliver it.
7.5 AI-generated content. AI-generated content may not be unique, since similar content may be generated for third parties, and may not be protected by copyright in every jurisdiction. The Customer is responsible for reviewing and approving content before publication, especially in regulated activities (health, finance, legal and others).
7.6 Platform learning. Tripaulx may use website performance metrics and results, in aggregated and anonymized form, to improve the Platform and its agents. One Customer's content is never published on another Customer's website, and personal data is not used for this purpose beyond what is provided in the Privacy Policy.
7.7 Portfolio. Tripaulx may mention the Customer's name and brand and showcase its website as a use case in commercial materials. The Customer may opt out at any time by writing to [email protected].
The Platform is provided "as is". Tripaulx strives to maintain high availability (SLA available by contract), but does not guarantee uninterrupted operation, especially regarding third-party services (Meta, payment gateways, AI providers).
Under no circumstances will Tripaulx be liable for indirect damages, lost profits or losses resulting from force majeure, actions of third parties (including Meta) or misuse of the Platform by the Customer.
The Customer may cancel its subscription at any time through the dashboard or by contacting [email protected]. Within 30 days after termination, the associated personal data may be deleted in accordance with our Data Deletion Policy.
Portability. Within 30 days after termination, the Customer may request an export of its content and data (texts, images, catalog, leads and contacts) in an open format (ZIP, CSV or JSON). The Platform's source code, layout, design, components and templates are not part of the export, under section 7.1. The Customer's own domain remains the Customer's, and Tripaulx releases the DNS pointing.
Mandatory tax records are kept for 5 years as required by Brazilian law.
Tripaulx may update these Terms at any time. Material changes will be announced at least 15 days in advance by email to the registered address. Continued use after the notice constitutes acceptance of the new conditions.
These Terms are governed by Brazilian law. The courts of the District of São Paulo/SP, Brazil, are elected as competent to settle any disputes arising from this instrument, with express waiver of any other, however privileged it may be.
Questions, suggestions or requests related to these Terms should be sent to [email protected] or [email protected].
